These Terms of Service (“Terms”) govern your organisation’s use of Epicurus Pro (“Epicurus”, “the Service”). By subscribing to or using the Service, you agree to these Terms on behalf of your organisation.
1. Who provides the Service
Epicurus Pro is built, owned, and operated as a product of Cognivo (Dubai, United Arab Emirates). Cognivo owns all intellectual property in the Service — the product, the brand, and the technology.
Leonova Technologies Ltd (United Kingdom) is the distribution company for Epicurus Pro. Your subscription contract is with Leonova Technologies Ltd, which handles billing, payment processing, and commercial distribution of the Service.
In these Terms, “we”, “us”, and “our” refer to Leonova Technologies Ltd as your contracting party, acting with respect to a product owned by Cognivo. Questions about this structure: legal@cognivo.ae.
2. What Epicurus Pro is
Epicurus Pro is an enterprise AI digital colleague that works inside your existing communication tools — Microsoft Teams, Slack, WhatsApp, and Telegram — and over email and voice calls (browser and, where activated, a real phone line). It can read and participate in chat threads, help draft and organise work, access email and calendar data through Microsoft 365 (with your consent), connect to your business applications you choose to authorise, build documents and dashboards, and remember context from past conversations so it can assist more effectively over time.
The Service is provided as a subscription SaaS product, licensed per person. Current plans and pricing are shown on our pricing page and in your order form; Enterprise plans are agreed individually (contact enterprise@cognivo.ae).
3. Accounts, organisations & tenant isolation
Access to Epicurus is organised around organisations (tenants). Each organisation has its own isolated workspace: conversation memory, configuration, usage data, and connected integrations are kept separate from other customers.
You are responsible for:
- ensuring that only authorised people in your organisation can use the Service;
- keeping login credentials and integration permissions secure;
- ensuring that anyone who uses Epicurus on your behalf has authority to do so; and
- the accuracy of information you provide during onboarding.
We do not mix your organisation’s data with another customer’s data. If you believe there has been an isolation issue, contact us immediately at legal@cognivo.ae.
4. Acceptable use
You agree to use Epicurus only for lawful business purposes and in line with these Terms. You must not use the Service to:
- break any applicable law or regulation;
- send spam, harassment, or misleading communications;
- attempt to access data or systems you are not authorised to access;
- reverse-engineer, probe, or disrupt the Service or its infrastructure;
- upload or process content that infringes third-party rights; or
- circumvent billing, usage limits, or security controls.
We may suspend or restrict access if we reasonably believe your use poses a security, legal, or operational risk. We will try to notify you first where practicable.
5. Human-in-the-loop approval
Epicurus is designed to propose actions, not act unilaterally on matters that change your systems or communicate on your behalf.
By default, for mutating operations (such as sending an email, creating or changing a calendar event, posting a message externally, or other actions that affect your connected environments), Epicurus prepares a proposal and waits for explicit human approval from an authorised user before carrying it out. Your organisation can configure how approvals behave — for example remembering an approval for similar routine actions, or allowing certain routine updates to run without re-confirmation. High-risk operations (for example deletions or payments) always require explicit approval and are never remembered as standing permissions.
You remain responsible for reviewing and approving proposals, and for the approval behaviour your organisation configures. Approving an action means you authorise Epicurus to perform it on your organisation’s behalf. We are not liable for consequences arising from approvals you or your team members grant.
6. Data processing & connected services
To provide the Service, Epicurus processes data you and your users submit through connected surfaces (chat messages, commands, attachments, emails, call transcripts, and related metadata). Where you connect Microsoft 365, Epicurus may access email, calendar, and directory information through the Microsoft Graph API, limited to the permissions you grant during setup. Where you connect other business applications, access is limited to the scopes you authorise, and stored credentials are encrypted.
We process this data only to deliver and improve the Service, provide support, maintain security, and meet legal obligations. Our Privacy Policy explains what we collect, why, and how long we keep it.
If you are a business customer, your organisation is the data controller for personal data processed through the Service on your behalf; Leonova Technologies Ltd acts as a data processor on your instructions, with Cognivo processing data as the platform operator under the same instructions — as further described in our Privacy Policy and any applicable data processing agreement.
7. Credits, billing & token metering
Epicurus usage is metered using a credit and token-based model. Each teammate works on a per-person license seat (a flexible seat with a monthly credit allowance, or an Enterprise seat with unlimited fair use). AI interactions consume tokens (input and output) which are aggregated per user and per organisation for billing and capacity planning, drawing on your organisation’s shared credit pool.
Subscription fees, included allowances, overage rates, and payment terms are set out in your order form or online checkout. Payments are processed by Leonova Technologies Ltd through our payment provider (currently Stripe). Prices are displayed in the currency shown at checkout; where multiple currencies are offered, the checkout price for your selected currency is the binding price. Fees are generally billed in advance on a monthly or annual cycle unless otherwise agreed.
If your organisation enables automatic top-up, additional credit purchases are charged to your saved payment method when your balance falls below the threshold you configure, subject to the daily and safety limits shown in the dashboard. You can disable automatic top-up at any time in the dashboard, which also cancels any in-flight top-up that has not been confirmed by our payment provider.
Promotional or trial credits (for example welcome credits granted at signup) are one-time, non-refundable, and have no cash value.
We may change pricing for renewals with reasonable notice. Continued use after a pricing change takes effect constitutes acceptance of the new rates for the next billing period.
Except where required by law, fees are non-refundable. If your organisation exhausts its included credits, we may throttle or pause certain features until additional credits are purchased or your next billing cycle begins.
8. Telephony — voice calls & SMS
Epicurus Pro can operate a real phone line for your organisation: a dedicated phone number (provisioned through our carrier partner) that your team and your AI colleague share for inbound and outbound voice calls and text messages.
Telephony is activated by your organisation, never automatically. An administrator must expressly accept these telephony terms in the dashboard before a number is provisioned. By activating telephony, your organisation acknowledges and agrees that:
- your AI colleague will be able to make and receive live phone calls and send and receive SMS messages on your organisation’s number, including speaking with third parties on your behalf;
- you will use telephony lawfully — no spam, unlawful robocalls, deceptive caller identification, or contact with people who have opted out, and in compliance with telemarketing and communication laws applicable to you (for example TCPA in the US and PECR in the UK);
- where call recording or transcription is enabled, you are responsible for satisfying any consent and notification requirements that apply in your jurisdiction;
- calls and messages consume credits at the rates shown in your dashboard (carrier cost plus our margin), and keeping a number active carries a recurring monthly charge; and
- any promotional or welcome credit granted at activation is one-time, non-refundable, and has no cash value.
Numbers remain part of the Service: if your subscription ends or a number is released from the dashboard, it stops routing and may be returned to the carrier. We may suspend telephony immediately if we detect fraud, abuse, or a legal or carrier compliance risk.
9. Beta features & early access
Some organisations use Epicurus under a beta program (early access). Beta features work, but you may encounter rough edges; we fix reported issues quickly and your feedback shapes the product. Where your organisation participates in the beta program, this is indicated at signup.
If — and only if — a user expressly agreed to conversation review at signup, our team may review that user’s conversations with the colleague to diagnose and fix issues during the beta. Without that recorded consent, we do not claim this review right. See the Privacy Policy for how consent is recorded.
10. Intellectual property
All intellectual property rights in the Service — including software, models, systems, branding, and documentation — are owned by Cognivo (Dubai, United Arab Emirates). Your organisation receives a limited, non-exclusive, non-transferable right to use Epicurus for its internal business purposes for the duration of your subscription, granted through your contract with Leonova Technologies Ltd as distributor.
You retain ownership of your content and data. You grant us a licence to host, process, and transmit your content solely to operate and improve the Service. We do not claim ownership of your emails, chats, documents, or business records, nor of the outputs the Service generates for you from your content.
11. Warranties & disclaimers
We work hard to keep Epicurus reliable and helpful, but AI systems can make mistakes, miss context, or produce incomplete results. The Service is provided “as is” and “as available”.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee that Epicurus will be error-free, uninterrupted, or suitable for every use case.
You should treat AI-generated outputs as drafts requiring human judgement, especially for legal, financial, medical, or safety-critical decisions.
12. Limitation of liability
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
Subject to the above, our total aggregate liability arising out of or relating to the Service in any twelve-month period is limited to the fees your organisation paid to us for the Service in that period.
We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if we have been advised of the possibility.
13. Termination
Either party may end the subscription according to the notice period in your order form (or, if none is stated, with 30 days’ written notice before the end of a billing period).
We may suspend or terminate access immediately if you materially breach these Terms, fail to pay fees when due, or if continued provision would create unacceptable legal or security risk.
On termination, your right to use the Service ends. Your organisation’s data is handled as described in our Privacy Policy and any data processing agreement: we delete organisation data on written request following termination, subject to legal retention requirements.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
15. Changes to these Terms
We may update these Terms from time to time. Each revision carries a version stamp (shown at the top of this page), and we keep a record of each version a user expressly accepts. For material changes, we will provide reasonable notice — for example a notice in your dashboard asking you to review and accept the updated Terms, or an email to your account administrator. Continued use after changes take effect constitutes acceptance.
